CF Solutions

This software is provided at no cost to any person or organization that files campaign finance reports with the Pima County Department of Elections. Filers must agree to certain terms in order to use this software. Read, understand and agree to the terms below to download your software.

 

EULA - CF SOLUTIONS CAMPAIGN FINANCE CLIENT SOFTWARE

These license terms are an agreement between CF Solutions and you. They apply to the software named above, hereafter referred to as “The Software”. The terms also apply to any updates for The Software, unless other terms accompany those items. If so, those terms apply. By agreeing to this End User License Agreement, you accept these terms.

OVERVIEW.
Pima County has licensed CF Solutions software for use by any candidate or committee to prepare their Campaign Finance Reports for filing with the Pima County Department of Elections. You as a candidate or committee have the right to use this software by agreeing with this End User License Agreement. If you choose not to use this software, you should use conventional means for filing with the Pima County Department of Elections.
a. Software. The Software does not include any server software, components or services supplied by CF Solutions other than those named above.
b. License Model. The Software is licensed to be used by any person to file campaign finance reports with the Department of Elections Office of Pima County. Any other use is unauthorized and prohibited.

COMMUNICATION REQUIREMENTS.
Operation of The Software requires an internet connection to check for updates and to file electronically if that function is facilitated by the receiving governmental entity . The Software will stop functioning after its license expires if it is not allowed to communicate with CF Solutions servers for updated licenses.

SCOPE OF LICENSE.
The Software is licensed, not sold. This agreement only gives you some rights to use The Software. CF Solutions reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use The Software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways. You may not:
• work around any technical limitations in The Software;
• reverse engineer, decompile or disassemble The Software, except and only to the extent that applicable law expressly permits, despite this limitation;
• make more copies of The Software than specified in this agreement or allowed by applicable law, despite this limitation;
• publish The Software for others to copy; or
• sell, rent, lease or lend The Software

DOCUMENTATION.
CF Solutions supplies documentation that accompanies The Software. You may use the documentation for your internal, reference purposes. You also may distribute the documentation freely to other users in your organization. Alteration or distribution of the documentation outside of your organization is expressly prohibited.

NUMBER OF DEVICES.
You may install the software on as many devices as you need for your use. CF Solutions makes no claim as to the interoperability of the software and database(s) in a network environment. Sharing of database(s) across a network is not supported by CF Solutions.

EXPORT RESTRICTIONS.
The software is subject to United States export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the software. These laws include restrictions on destinations, end users and end use.

ENTIRE AGREEMENT.
This agreement is the entire agreement for the software and support services.

APPLICABLE LAW.
Except to the extent that this Agreement is governed by the laws of the United States, this Agreement shall be governed, interpreted and enforced in accordance with the laws of the State of Arizona without regard to its conflict of laws provisions. Any action or proceeding arising under this Agreement shall be subject to the jurisdiction of the State or Federal Courts for Maricopa County, Arizona.

LEGAL EFFECT.
This agreement describes certain legal rights. You may have other rights under the laws of your state or country. You may also have rights with respect to the party from whom you acquired the software. This agreement does not change your rights under the laws of your state or country if the laws of your state or country do not permit it to do so.

LIMITATION ON AND EXCLUSION OF DAMAGES.
CF Solutions is not responsible to you for any direct damages, consequential, lost profits, special, indirect or incidental damages related to the installation or operation of The Software. This limitation applies to:
• anything related to the software, services, content (including code) on third party Internet sites, or third party programs; and
• claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort to the extent permitted by applicable law. It also applies even if CF Solutions knew or should have known about the possibility of the damages.

NO WARRANTY TO USER.
The limited warranty included in the purchase agreement is only binding between CF Solutions and Pima County.
